What you need to file
Provide a distinguishable LLC name, a principal office and mailing address, a Florida registered agent who accepts appointment, and authorized management information. Principal and mailing addresses may be outside Florida; the registered office must be a Florida street address.
What you get
Each formation bundle includes preparation and submission of your formation documents by our filing team and a corporate kit. Review the exact scope, optional services and any recurring charges at checkout before ordering. State fees are separate; optional certified copies and certificates of status cost extra.
Sunbiz and processing time
Sunbiz is Florida’s Division of Corporations filing system. Filings are processed in the order received. Timing varies with state workload, submission method and corrections; we do not promise same-day submission or a fixed approval date.
After approval
Keep your approved Articles and company records, consider an operating agreement, and obtain an EIN if required. Maintain a registered agent. The first annual report is generally due in the calendar year after formation; the filing window is January 1–May 1 and the LLC state fee is $138.75.
Frequently asked questions
How is the $125 state fee calculated?
$100 for Articles of Organization plus $25 for registered-agent designation. Optional certificates and copies are not included.
Is the $25 fee the cost of registered-agent service?
No. It is a state designation fee, not the fee charged by a professional registered-agent service.
Is a corporate kit included?
Yes. Starter ($299), Pro ($449) and Complete ($749) each include a corporate kit; Florida state fees are additional.
